The Streaming Giant Becomes Top Contender in Major Hollywood Studio Entertainment Assets Acquisition Bid

High-stakes talks are now underway between the media conglomerate and the streaming behemoth for a blockbuster acquisition of its core studio and streaming operations, a development that could dramatically alter the film and television landscape.

An Intense Bidding War

The leading streamer is reportedly vying with other major players like Paramount Skydance and the cable giant, which owns Universal Studios and Sky, for control of the legendary Warner Bros studio, the premium HBO network, and the HBO Max streaming platform.

According to reports the company has proposed a substantial termination penalty of $5 billion if the acquisition not obtain antitrust approval in the US.

The Financial Picture

With Warner Bros Discovery shares sitting around approximately $24, its total market valuation stands at roughly $60bn. Reports suggest Netflix's offer is between $28 to $30 per share, which suggests a total bid value in the neighborhood of $70 billion to $75 billion.

Industry experts have cautioned that such a merger could raise significant competition issues, as it would unite two of the most dominant streaming services in the United States.

Assurances and Corporate Restructuring

In its proposal, the streamer has reportedly given guarantees that the Warner Bros film studio, behind major franchises like Harry Potter and Batman, would continue to enjoy wide theatrical releases.

Prior to a final agreement, the company is planning to finalize a planned spin-off of its linear TV networks, which include CNN, TBS, and TNT.

A Content Juggernaut

Should the deal proceed, Netflix would become the owner of the acclaimed HBO, the maker of award-winning shows including Game of Thrones, Succession, The Sopranos, and The White Lotus, along with an extensive archive of classic television.

Warner Bros formally initiated its sale process last fall after attracting interest from multiple suitors.

Industry Concerns

This prospective deal has not been without controversy. Acclaimed filmmaker James Cameron, director of the Avatar and Terminator franchises, stated this week that a sale to Netflix could lead to a "catastrophic loss of long-term value" for the creative sector.

Initially, Paramount Skydance was viewed as the early favorite. It had similarly proposed a $5bn termination fee contingent on regulatory hurdles.

Claims Regarding an Unfair Process

This week, Paramount contended formally that its offer was the most likely to gain regulatory clearance. Furthermore, the company accused the seller of conducting an "biased sales process" that unduly benefited Netflix, calling it "tainted" in legal correspondence.

Representatives for all companies involved refused to comment on the ongoing negotiations.
